NDA Request

DivToCloud takes confidentiality seriously. Before you share sensitive business ideas, proprietary data, or competitive information, we are happy to sign a mutual Non-Disclosure Agreement (NDA).

Our standard NDA is mutual — meaning both parties agree to keep each other's information confidential. It covers all information shared during the evaluation, proposal, and project delivery phases.

We can also work with your organisation's own NDA template if you prefer.

Business plans, product concepts, roadmaps, and unreleased features disclosed during project discussions.

Technical architecture, proprietary algorithms, data structures, and internal processes shared to scope the project.

Customer data, financial information, and any other information marked as confidential by either party.

Any information that a reasonable person would consider confidential given the context of the disclosure.

Information that is already publicly available at the time of disclosure, or that becomes public through no fault of either party.

Information that the receiving party independently developed without reference to the confidential information.

Information received from a third party who is not under any obligation of confidentiality with respect to that information.

Our standard NDA remains in effect for three years from the date of signing, or for the duration of the project engagement plus two years — whichever is longer.

Certain provisions around trade secrets and proprietary technology may survive indefinitely, as specified in the agreement.

We will send you our standard mutual NDA within one business day. Once both parties have signed, we can begin discussing your project in full detail.

If you have your own NDA template, attach it to your email and we will review it within two business days.
